Terms of Use

These Terms govern your use of the Taimseed website and our digital and artificial-intelligence-assisted features. Please read them carefully.

1. Agreement to these Terms

These Terms of Use (the “Terms”) are an agreement between you and Taimseed LLC (“Taimseed,” “we,” “us,” or “our”), the operator of this website and provider of administrative technology. By accessing or using our website or AI Features, you agree to these Terms. If you do not agree, do not use them.

Clinical care is provided by SmartClinic Inc. d/b/a Smart Clinic Urgent Care or Sedrakyan MD Inc. d/b/a Downtown Medical Group, as applicable (each, a “Practice”). The applicable Practice—not Taimseed LLC—is responsible for clinical services and final clinical decisions. Clinical services, patient portals, medical records, communications, and particular technologies may be governed by additional notices, consents, policies, or terms. If those materials conflict with these Terms for the applicable service, the more specific materials control.

2. Medical information and emergencies

Public website content and AI output that has not been reviewed by a licensed clinician are provided for general informational purposes. They are not medical advice and are not a substitute for evaluation, diagnosis, or treatment by a qualified health care professional. Visiting the website or interacting with an AI Feature does not, by itself, create a physician-patient relationship.

Do not use the website or an AI Feature for an emergency. Call 911 or go to the nearest emergency department. The absence of an alert or urgency flag does not mean that a condition is safe or non-urgent.

Do not delay or disregard professional medical advice because of website content or AI output. A clinician or appropriately trained staff member—not an AI system—makes final triage, routing, diagnosis, and treatment decisions.

3. AI Features

“AI Features” means automated or AI-assisted tools that Taimseed or a Practice makes available or uses now or in the future. They may include:

  • appointment scheduling, confirmations, and administrative voice agents;
  • voice or digital collection of symptoms, medical history, medications, allergies, and reasons for a visit;
  • urgency detection, triage flags, summaries, and routing recommendations that are subject to human review;
  • ambient scribing, transcription, chart summarization, and draft medical note generation;
  • clinical decision support, result explanations, monitoring and prioritization, fertility modeling, retinal imaging, and AI-scored sleep studies; and
  • patient-facing phone, voice, chat, form, prompt, and upload tools, along with materially similar features introduced later.

AI Features may misunderstand input; omit relevant information; or produce inaccurate, incomplete, outdated, or biased output. They are tools that support patients, clinicians, and staff. They do not independently establish final diagnoses, treatment plans, prescriptions, urgency levels, or other clinical decisions.

When required, an AI interaction will identify itself as automated, explain how to contact a human, and provide any additional feature-level disclosure. These Terms do not replace disclosures or human-contact instructions that must appear within a particular interaction.

4. AI-assisted intake and triage

An AI Feature may ask about your symptoms, history, medications, allergies, or reason for seeking care. It may organize or summarize your answers, identify possible urgency signals, and recommend that information be routed to a particular clinician or staff workflow. A clinician or appropriately trained staff member of the applicable Practice makes the final triage and routing decision.

We may require reasonable identity verification before an AI Feature collects or discloses patient-specific information. You agree to provide information that is complete and accurate to the best of your knowledge, review a summary when one is offered, and promptly tell us about errors. Ambiguous, unsupported, urgent, or clinically significant responses may be escalated to a human.

You may not use an AI Feature to impersonate another person, submit another person’s health information without authority, seek emergency care, request harmful or unlawful assistance, interfere with security, reverse engineer the service, or attempt to make the AI act as an autonomous clinician.

5. AI scribing and medical charts

With any notice and consent required by applicable law, an AI scribe may listen to, process, or transcribe a clinical encounter and generate draft chart documentation. A licensed clinician reviews, corrects, approves, and signs AI-generated documentation before it becomes final clinical documentation. The clinician remains responsible for the final chart and resulting clinical decisions.

You may ask us to correct an inaccuracy through our ordinary medical-record process. Details about audio, transcripts, processing, and retention are governed by the notices and consents applicable to the particular feature. These Terms are not recording consent, informed consent, or a waiver of your medical-record rights.

6. AI voice scheduling and communications

An AI voice agent may answer calls, provide basic administrative information, and help schedule, reschedule, cancel, or confirm an appointment. Scheduling agents do not diagnose, prescribe, provide medical advice, or independently perform clinical triage. Clinical questions and possible urgency signals may be transferred or escalated to appropriate staff.

Appointments are subject to provider availability and are not final until confirmed through the designated confirmation channel. Contact us if you believe an agent made a scheduling or transcription error.

A call or interaction may be processed, transcribed, monitored, or recorded only after any notice and consent required by applicable law. Automated outbound calls or messages are subject to any separately required consent and opt-out rights. Agreeing to these Terms is not consent to recording or to receive automated outbound communications.

7. Privacy and data use

Audio, transcripts, prompts, uploads, summaries, scheduling details, and AI-generated chart drafts may contain sensitive information. We handle that information under applicable health care privacy laws and the privacy notices, HIPAA notices, authorizations, and feature-specific consents that apply to the service.

Taimseed and the Practices do not use identifiable patient data to train general-purpose AI models. Data that has been deidentified in accordance with applicable law may be used for legally permitted purposes, subject to applicable privacy notices.

These Terms do not authorize disclosure of protected health information and do not replace recording consent, informed consent, communications consent, feature-specific consent, or rights concerning medical records. Submitting information through an AI Feature allows us to process it as needed to provide and administer that feature, consistent with those applicable notices and requirements.

8. Third-party services and regulated tools

The website and AI Features may link to or rely on third-party services, including scheduling platforms, communications providers, laboratories, imaging systems, and regulated medical technologies. Their services may be subject to separate terms, privacy notices, instructions, and regulatory labeling. A description of a tool as FDA-cleared or otherwise regulated applies only when expressly stated for that specific tool and use.

We are not responsible for third-party websites or services that we do not control. Review their applicable terms and notices before using them.

9. Ownership and permitted use

The website, its design, and Taimseed-created text, graphics, branding, and software are owned by or licensed to Taimseed and are protected by intellectual-property laws. We grant you a limited, revocable, non-transferable right to use the website and available AI Features for their intended personal purposes.

These Terms do not transfer ownership of your medical records or make a broad ownership claim over patient-facing AI output. Medical-record rights are governed by applicable law and clinical notices. You may not copy, commercialize, scrape, disrupt, or misuse our services except as allowed by law or with our written permission.

10. Availability and disclaimers

We may change, suspend, or discontinue website content or an AI Feature at any time. We do not guarantee uninterrupted access, compatibility, or that every error will be detected or corrected. To the fullest extent permitted by law, the website and AI Features are provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, or non-infringement.

Nothing in these Terms limits professional duties owed in an established clinical relationship or rights that cannot lawfully be waived.

11. Limitation of liability

To the fullest extent permitted by law, Taimseed and its officers, employees, and contractors will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of, or inability to use, the public website or an AI Feature. This limitation does not apply where prohibited by law and does not limit liability or professional obligations that cannot lawfully be limited.

12. Changes, termination, and severability

We may revise these Terms as our services or legal obligations change. The effective date above identifies the current version. Continued use after an updated version becomes effective constitutes acceptance of the revised Terms where permitted by law.

We may restrict access to the website or an AI Feature for misuse, security risk, or violation of these Terms. If part of these Terms is unenforceable, the remaining provisions remain in effect to the extent permitted by law.
